YOU’RE BREAKING UP CONTEST
OFFICIAL CONTEST RULES AND REGULATIONS
No purchase necessary. A purchase will not improve your chances of winning.
1. ELIGIBILITY
The You’re Breaking Up Contest (the “Contest”) is open only to legal residents of Canada, thirteen (13) years of age or older as of the Contest start date described below, excluding residents of Quebec. If an entrant is under the age of majority in the province or territory in which he/she resides, he/she must have the permission of his/her parent or legal guardian to enter the Contest. Entrant may be required to provide proof of such permission upon request of Contest Sponsor. You are not eligible to enter or to win if you are: (a) an employee, officer, director, representative or agent of WirelessWave, a division of Glentel Inc., (the “Contest Sponsor”), its parent, subsidiary or related companies and their respective advertising or promotion agencies or the independent contest judging organization, (b) a member of the Judging Panel (as defined below in Rule 6), or (c) any individuals (or representatives of companies) engaged in the provision of goods or services related to this Contest; (d) an employee, representative or agent of a competitor† of the Contest Sponsor, its parent, subsidiary and affiliated companies or (c) a member of the immediate family (parent, child, sibling, spouse, grandparent, grandchild, cousin, aunt or uncle, whether related through blood, marriage, common law, civil union or adoption, regardless of where they live) or household (whether related or not), of any of the above individuals.
2. ENTRY PERIOD
Eligible entrants may submit an Entry in the Contest between 12:00:01 AM Pacific Time (PT) on October 5, 2009 and 11:59:59 PM PT on November 8, 2009 (the “Entry Period”).
See Rule 6 below for more details about how winners will be selected.
3. How to Enter: NO PURCHASE NECESSARY
A. REGISTER:
During the Entry Period, visit www.LoveThePhone.com (the “Contest Website”). Follow the instructions to register and create a profile for the Contest. All fields are mandatory unless indicated as optional. You will be asked to create a username, which will identify you online if you participate by posting a comment or submission on the Contest Website. You may choose to link your profile on the Contest Website to your FACEBOOK* profile, if you have one, via the “FACEBOOK Connect” link. Contest Sponsor reserves the right, in its sole discretion, to limit or prohibit usernames for any reason. Entrant must register him- or herself. LIMIT: One (1) registration per person and per email address. Duplication may result in disqualification. Before you will be allowed to submit your Entry (as defined below), you must carefully read and accept the Official Contest Rules.
B. CREATE YOUR ENTRY:
Create an original Song or Video that is exactly thirty (30) seconds in length on the theme of “Stories of (phone) love lost.” Your Song or Video must be entirely original, UNLESS content is collaborative (as defined in the “Collaboration” rules, outlined in Section C below), is Creative Commons licensed or content that the entrant owns all rights to. As you work on your Entry, you must save it on your own computer. Failure to save your Entry on your computer may result in your Entry being lost and irretrievable. See Entry Conditions in Rule 4 below and see Rule 6 below for judging criteria.
C. COLLABORATION:
The Contest Sponsor has provided seven (7) approved music tracks (available at http://lovethephone.com/collaborate) that can be downloaded and used by the Contest Entrant in their Song or Video submission.
Entrants will have the option to allow their submission to be available for collaboration. Only those entrants that opt in will be available to collaborate with. Collaboration with another entrant must be done through contact between the two entrants only, using the contact feature in the user profile. The Contest Sponsor will not coordinate the collaboration on behalf of any entrants. All collaborative entries must give credit to all contributors. Collaborative Entries are eligible to win either or both the Top Song and Top Video categories. Only the Contest Entrant that submitted the winning portion will win the Grand Prize in their corresponding category. Any entrant using another entrant’s submission (in whole or in part) without their consent will be disqualified, at the Contest Sponsor’s discretion.
D. SUBMIT YOUR ENTRY:
Once you have created your Song or Video (the “Entry”) you must submit your Entry. Log on to the Contest Website, and click the “Submit” link to access the entry form (the “Entry Form”). Follow the instructions on the screen and complete all required fields.
In order to submit your Entry, you:
- must complete the “Your Song/Video Entry” field with the name of your Song or Video;
- (b) must attach your completed Entry to the Entry Form by selecting the “Browse...” button, selecting your Song or Video and selecting Upload;
- (c) confirm compliance with these Official Contest Rules and represent and warrant that you have the written consent of each individual whose image, likeness and/or voice appears in the Entry (or, if that individual is a minor, his or her parent or legal guardian) to appear in the Entry. You may be required to provide proof of such written permission upon request of the Contest Sponsor; and
- (d) consent to your entry being posted on the Contest Website for Contest purposes.
Entries must be received no later than 11:59:59 PM PT on November 8, 2009. Proof of entry does not constitute proof of receipt. Entries will only be accepted through the Contest Website. No other means of transmission or delivery will be accepted. Late, garbled, incomplete or misdirected Entries, or Entries that do not comply with these Official Contest Rules, will be declared void and will be ineligible to win. The sole determinant of time for the purposes of receipt of a valid entry in this Contest will be the Contest server machine(s). All Entries shall be the sole property of the Contest Sponsor and will not be returned. All Entries will be reviewed for compliance with these Official Contest Rules before being judged; however, such review does not relieve entrants from responsibility for compliance with these Official Contest Rules.
If more than one individual elects to collaborate on an Entry, they are required to designate one (1) person as the representative of the group (the “Representative”) to enter the Contest. Any communications relating to this Contest will be directed solely to the Representative and, if declared a winner, the Grand Prize will be awarded solely to the Representative. Neither Contest Sponsor nor any of the Released Parties (as defined below in Rule 7) are liable for any disputes between collaborators on any Entry, including but not limited to distribution of any applicable prizes. In the event of a dispute regarding the identity of an entrant, the Entry will be deemed to have been made by the authorized account holder of the email address submitted at the time of registration for the Contest. “Authorized account holder” is defined as the natural person who is assigned to an email address by an Internet access or online service provider, or other organization responsible for assigning email addresses. By entering, entrant acknowledges that the Entry is not being submitted in confidence or in trust, and that no confidential or fiduciary relationship is intended or created.
4. ENTRY CONDITIONS
Each Entry must:
- Be an original work, created solely by the entrant registered on the Contest Website, and over which the entrant (or the Representative in the case of a group entry) has all necessary rights, title and interest, including copyright;
- Not infringe upon the intellectual property rights, or defame, or invade the publicity or privacy rights, of any third party, living or deceased;
- Not contain, or contain anything confusingly similar to, the brand names, trade names, trade marks or logos of any third parties;
- Be in English;
- Not make any reference to any branded telecommunications products;
- Be submitted in one of the following video file formats: AVI; 3GP; .MOV; .MP4; .MPEG; .FLV; .SWF; and .MKV (h.264), and be no more than 1000MB in size;
- Be suitable for family audiences and for display and publication on national television, in the sole determination of Contest Sponsor in its discretion. Without limitation, Entries and usernames shall not contain any content that is or portrays or contains: unlawful behaviour, profanity, nudity, explicit sexuality, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or is hatefully, racially, ethnically or otherwise offensive or objectionable;
- Comply with the Terms of Use and other contracts and policies governing the FACEBOOK platform ( available at http://www.facebook.com/terms.php );
- Comply with the Terms of Use, Community Guidelines, and other contracts and policies governing the YOUTUBE** platform ( available at http://ca.youtube.com );
- Have been created specifically for this Contest, and have not been previously published, or entered into, or received any awards in, any other contest or competition;
- Be from an identifiable source. The entrant must not create a false identity, or impersonate any person or entity, or falsely state or otherwise misrepresent an affiliation with any person or entity;
- Comply in full with these Official Contest Rules.
Contest Sponsor reserves the right at any time, in its sole and absolute discretion, to disqualify any entrant and to remove (or to refuse to post) Entries from the Contest Website that it finds or believes not to comply with the conditions above or otherwise with these Official Contest Rules, to delete from the entrant’s tally any and all votes, and to pursue all other applicable rights and remedies.
By submitting an Entry, the entrant represents and warrants that he or she : (a) owns and controls all right, title and interest, including copyright, in and to all elements of the Entry (excluding content provided by Contest Sponsor); (b) has the right and authority to, and does hereby, grant to Contest Sponsor an irrevocable, non-exclusive, royalty-free worldwide license in perpetuity to reproduce, broadcast, communicate, distribute, adapt, modify and otherwise use all or any part of the Entry submitted under this Contest on the Contest Website and the YOUTUBE** platform; (c) waives any and all moral rights that he/she may have in the Entry with respect to the uses contemplated herein; and (d) in the case of a group or collaborative entry, has obtained any and all rights in the Entry from all other group members and has obtained a waiver from all group members of any and all moral rights that any such persons may have in the Entry.
By entering the contest, entrants agree to release and hold harmless the Released Parties (as defined below in Rule 7) from any and all claims that any commercial, advertising, presentation, web content or other material in any media throughout the universe subsequently produced, presented and/or prepared by or on behalf of Contest Sponsor, infringes with regard to any elements, characters or ideas contained in their Entry. For greater certainty, Contest Sponsor will not be responsible should any future advertising, promotion, or other independently developed creative, marketing or advertising materials bear any resemblance to an Entry that is not declared to be the winning Entry.
5. THE PRIZES
A. GRAND PRIZE: There are two (2) Grand Prizes available to be won (one each for Best Song and Best Video).
The Best Song Grand Prize consists of a trip for two (2) persons to Austin, Texas to attend the South by Southwest (SXSW) Music Festival (value not to exceed $6,000). Prize includes return economy air transportation from the major airport closest to the winner’s place of residence in Canada, five (5) nights double occupancy hotel accommodation (selection of airline carrier, seat and class, and hotel accommodations to be made at the Contest Sponsor’s sole discretion), and two (2) SXSW Music Festival Passes. This contest has not been sponsored by the SXSW Music Festival. Prizing is limited to availability. If this prize is not available, a prize of equal or greater value (as determined by the Contest Sponsor) will be awarded. Dates for travel for the Best Song Grand Prize Winner and guest are March 17, 2010 to March 21, 2010.The Best Video Grand Prize consists of a trip for two (2) persons to Park City, Utah to attend the Sundance Film Festival (value not to exceed $5,000). Includes return economy air transportation from the major airport closest to the winner’s place of residence in Canada, five (5) nights double occupancy hotel accommodation (selection of airline carrier, seat and class, and hotel accommodations to be made at the Contest Sponsor’s sole discretion), and two (2) Sundance Film Festival Passes. This contest is not sponsored by the Sundance Film Festival. Prizing is limited to availability. If this prize is not available, a prize of equal or greater value (as determined by the Contest Sponsor) will be awarded. Dates for travel for the Best Video Grand Prize Winner and guest are Wednesday, January 27, 2010 to Sunday, January 31, 2010.
Minors must be accompanied by a parent or legal guardian at all times. Any and all meals and expenses not expressly described above, including without limitation, such expenses as telephone calls, in-room movies, mini-bar expenses, room service, gratuities, medical and travel insurance, excess baggage costs, optional tours, airport departure taxes, duties and all personal expenses of any kind or nature are the sole responsibility of each Winner and his/her guest. Each Winner and his/her guest must travel together on the same itinerary or the Grand Prize may be forfeited, in whole or in part. Each Winner and his/her guest are responsible for transportation to and from all airports. Each Winner and his/her guest must have valid passport and other documentation required to travel, and must have no restrictions on their ability to travel on the dates specified above as contemplated herein. Should a selected entrant be unable to attend and participate in the Grand Prize he or she may, at Contest Sponsor’s sole and absolute discretion, be disqualified and forfeit the opportunity to win the Grand Prize. Approximate retail value of each Grand Prize: $6,000. Actual value may vary depending on departure point and time of booking. Winners are not entitled to the difference, if any, between the actual and stated value of the Grand Prize.
The Grand Prize must be accepted as awarded, and cannot be transferred, substituted or exchanged except at the sole discretion of the Contest Sponsor. Under no circumstances shall acceptance of the Grand Prize be deemed to create a relationship of employment, joint venture or partnership as between the winner and Contest Sponsor. Winner shall not be entitled to any benefits or entitlements beyond the prize described above. Tax consequences, if any, resulting from the winner’s acceptance of the Grand Prize shall be the sole responsibility of the winner.
B. YORK UNIVERSITY STUDENT SCHOLARSHIP PRIZE: There is one (1) $2,500 scholarship from WirelessWave available to be awarded to the York University student whose submission is judged to be the best based on the Judging Criteria (outlined in section 6A.2, below). The winning student must be a registered student at York University throughout the Entry Period. This prize will only be awarded if the conditions set out in section 6B below are met.
C. WEEKLY PRIZES: There are Eleven [11] Weekly Prizes available to be won (two [2] per week during the Entry Period, five [5] during the vote-only week), consisting of:
- ten (10) HTC Dream Mobile phones, $649.99 approx. retail value without activation, $99 with 3-year term from Rogers
- five (5) Bluetooth headsets, $90 approx. retail value
Each week, one (1) prize will be awarded through a random draw to a Registered User of the Contest Site (“Voter”) and one (1) prize will be awarded to the top entry submitted that week, as judged by the Judging Panel. The particular prize awarded to any one entrant will be selected at random at Contest Sponsor’s discretion. The selected Voter must successfully answer a skill testing question before being determined a winner. If the selected winner is unable to successfully answer a skill testing question or is unreachable, a new winner will be selected at random, until a successful winner is determined. If there are no new Voters or new Entries in a week, no prize will be awarded. A Week is from Monday at 12:00:01AM PT until Sunday at 11:59:59PM PT. See section 6C. below for further details of Weekly Prize selection process.

6. SELECTION PROCESS
A. GRAND PRIZES
There are two (2) phases (each a “Phase”) in the Grand Prize selection process:
1. User Voting: Entries will be posted on the Contest Website during the Entry Period. All users registered on the Contest Website will have the opportunity to vote for each entry up to one (1) time. To register and to vote during any time during this Contest, users must comply with the eligibility criteria and other conditions of the You’re Breaking Up Contest including these Official Contest Rules. User voting starts at 12:00:01 AM PT on October 5, 2009 and closes at 11:59:59 PM PT on November 15, 2009 (the “Voting Period”).
i. Selection of Finalists: The ten (10) Song Entries and ten (10) Video Entries (“Finalists”) that received the highest number of votes at the end of the Voting Period will be reviewed by the Judging Panel according to the Judging Criteria outlined below. Odds of being selected to be a Finalist will depend on the number of Entries received, and the popularity of and skill shown in the Entry as judged by Voters.
ii. Finalist Conditions: Selected entrants eligible to be declared Finalists will be notified by email or telephone at the email address or day and/or evening telephone numbers provided at the time of registration. If a selected entrant cannot be reached within forty-eight (48) hours of the first attempt to contact, he or she will forfeit the opportunity to be declared a Finalist. Each selected entrant will be required to sign and return to Contest Sponsor a Declaration, Release and Assignment (the “Release Form”), described below in Rule 7, and correctly answer without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question to be administered at a mutually convenient time by telephone, to remain declared a Finalist. In the event that a selected entrant is under the age of majority in the province or territory in which he/she resides, the skill-testing question and Release Form must be completed by that individual’s parent or legal guardian, and if declared the winner, the Grand Prize will be awarded in the name of the parent/guardian. If Contest Sponsor is unable to reach a selected entrant within the time given, or a selected entrant fails to return a duly completed Release Form by the deadline given by Contest Sponsor or to answer correctly the mathematical skill-testing question or to otherwise comply with these Official Contest Rules, or refusal to accept the Grand Prize, that person will be disqualified and, in the Contest Sponsor’s sole and absolute discretion, the next highest scoring entrant may be selected who will be subject to disqualification in the same manner, provided sufficient time remains. If disqualified, an entrant forfeits the chance to win the Grand Prize.
The confirmed Finalists will be named no later than November 16, 2009 at 8:00 PM PT.
2. Judging: During the period November 16, 2009 to December 10, 2009 (the “Judging Period”), all Entries declared Finalists will be reviewed by a panel, appointed by the Contest Sponsor in its sole discretion, including experts in the fields of music production, film production, marketing and advertising (the “Judging Panel”). The Judging Panel will review the Entries according to the criteria below to determine its score (the “Judges’ Score”):
- Creativity and Originality - 40%
- Use of the Contest Theme - 30%
- Overall Appeal - 30%
(collectively, the “Judging Criteria”)
The one (1) Finalist with the highest score in each Category (Song and Video) as determined by the Judging Panel will be declared the winner(s). Winners will be announced by December 14, 2009. For declared Finalists, odds of winning a Grand Prize will depend on the skill and creativity of his/her Entry, but will be no worse than 1:10.
By accepting a Grand Prize, confirmed Winners agree to accommodate and participate in all reasonable media appearance requests made by Contest Sponsor, including but not limited to interviews, press-releases, photo sessions and other Contest- and/or Product-related promotion (including print, television, internet or other broadcast), which may include disclosure of information about the Winner, his/her Entry, his/her name, city/province of residence, background and other personal information.
B. YORK UNIVERSITY STUDENT SCHOLARSHIP PRIZE:
The York University Student Scholarship prize is only available to be awarded to one (1) eligible York University student and only if there are a minimum of ten (10) entries from York University Students. Odds of being awarded a scholarship depend upon the number of Entries received from eligible York University Students.
C. ADDITIONAL PRIZES:
1. Voter Prize: All persons registered and voting in accordance with Rule 6.A.1 above will be automatically entered for a chance to win. All user profiles must be created by the end of a Week to be eligible for the Voter Prize for that Week.
A random draw will be conducted after the end of each Week during the Entry Period to select the winner of the Weekly Prizes described above. Odds of winning a Voter Prize depend upon the number of eligible entries received by voters in accordance with this paragraph.
2. Top Entry of the Week Prize: All persons registered and entering a submission in accordance with Rule 4 above will be automatically eligible for a chance to win. All entries must be submitted by the end of the a Week to be eligible for the Top Entry of the Week Prize for that Week.
Each entry submitted each week will be judged by members of the Judging Panel based on the Judging Criteria outlined in Rule 6.A.2 above. The top rated entry will be the winner of the Weekly Prizes described above. Odds of winning a Top Entry of the Week Prize depend upon the number of eligible entries received by registered users in accordance with this paragraph and on the decisions of the Judging Panel.
7. RELEASES
Before being declared a Finalist and/or being eligible to win, and before being declared a winner of any prize in this Contest, the selected entrant (or, if entrant is a minor, his/her parent or legal guardian) will be required to sign and return to Contest Sponsor a Release Form, (a) confirming compliance with the Official Contest Rules and, if declared a winner, acceptance of the prize as awarded, without substitution, (b) releasing Contest Sponsor, its parent, subsidiary and related companies, its advertising and promotional agencies, the Judging Panel, the independent contest judging organization, and each of their respective shareholders, directors, officers, employees, agents, representatives, successors and assigns (collectively, the “Released Parties”) from any liability in connection with the Contest and any Contest-related travel or events, acceptance, receipt, or use of any prize; and (c) as applicable, in the event the Finalist is declared a winner, irrevocably assigning and granting, on behalf of the Finalist him- or herself and his/her heirs, executors, administrators, successors and assigns, to Contest Sponsor the exclusive, perpetual, irrevocable, transferable, sublicensable right, title and interest in and to the Entry, including without limitation all copyright, and the right to produce, reproduce, encode, store, copy, transmit, broadcast, exhibit, publish, post, adapt, create derivative works from, trade-mark, copyright and or otherwise use without limitation, the Entry in any media throughout the universe, whether now known or existing in the future, in whole or in part whether in association with his/her name or otherwise, and waiver of all moral rights, in consideration for the receipt of the Grand Prize. Before being declared a winner, Finalists must also secure, and provide to the Sponsor, signed consent forms from any and all identifiable individuals appearing in their selected submission. This consent form provides that all identifiable individuals appearing in the selected submission consent to appearing in the submission and the use thereof by the Sponsor and to the collection of their personal information by the Sponsor.
Entrants acknowledge that if selected as the winner, the grant of rights described above includes, but is not limited to, the right (but not the obligation) at Contest Sponsor’s sole and absolute discretion, to use the Entry, or a modified, edited, reshot, recast, or translated version thereof, in whole or in part, (i) on the Contest Website and other Contest Sponsor websites; and/or (ii) for any packaging, merchandising, advertising, marketing, promotion or other commercial or non-commercial purpose. Entrants acknowledge that they have no right of approval or consultation with respect to Contest Sponsor’s use of the Entry. Each Finalist may be required to furnish proof of identification (or, if a Finalist is a minor, then proof of identification must be provided by their parent or legal guardian) satisfactory to the Contest Sponsor or the Contest Sponsor’s designated agent as part of the verification process. Each Finalist may also be required to consent to a confidential background check to confirm eligibility and to confirm that the use of the identity of Finalist in any advertising, publicity or other activities associated with the Contest or the Contest Sponsor’s use of the Finalist Entry would not bring the Contest or the Contest Sponsor into disrepute, contempt, scandal or ridicule, other otherwise reflect unfavourably on the Contest and the Contest Sponsor, as determined in the Contest Sponsor’s sole discretion. If the results of the confidential background check are not satisfactory to Contest Sponsor, in its sole and absolute discretion, Contest Sponsor reserves the right to disqualify the Entry. All Entries are subject to verification, including without limitation, eligibility of the Entrant and compliance with these Official Contest Rules.
8. PRIVACY
By entering the Contest, entrants consent to the use of their personal information by Contest Sponsor and its authorized agents for the purpose of administering the Contest and fulfillment of the Grand Prize. By accepting a prize, winners consent to use by Contest Sponsor of winner’s name, address (city/province), photograph, voice, appearance and statements in any publicity carried out by or on behalf of the Contest Sponsor in any media, including the Internet, without further notice or compensation. Winner further consents to disclosure of his/her name in association with the Contest and the Product. 9. LIMITATIONS OF LIABILITY
Without limiting the generality of the Release Form described above in Rule 7, by entering this Contest, entrant releases, discharges, indemnifies and agrees to hold harmless Released Parties from any real or alleged claims, damages or liability due to any injuries, damages or losses to any person or property resulting in whole or in part, directly or indirectly, from participation in this Contest, submission or posting of an Entry, or any Contest-related activity or from the acceptance of the Grand Prize.
Released Parties will not be responsible for late, lost, corrupt, garbled, incomplete or destroyed Entries and all such entries are void. Released Parties will not be liable for: (a) any incomplete or inaccurate information, whether caused by Contest Website users or by any equipment or programming associated with or utilized in the Contest, or by any technical or human error that may occur in the processing of Entries; (b) the theft, destruction or unauthorized access to, or alteration of, entries or the Contest Website; (c) any problems with, or technical malfunctions of, telephone networks or lines, computer systems, servers or providers, computer equipment, software, viruses, trojan horses, worms, or bugs; (d) any failure of any electronic submission to be received by or from Contest Sponsor for any reason including but not limited to traffic congestion on the Internet or at any website or combination thereof; or (e) damage to an entrant’s or other person’s system occasioned by participation or downloading of materials in this Contest.
10. INDEMNIFICATION
By submitting an Entry, entrant agrees to indemnify and hold harmless the Contest Sponsor, its respective parent, subsidiaries, affiliates, successors, licensees, and assigns, and each of their directors, officers, agents, equity holders and employees, and the Judging Panel, from and against any and all claims, losses, costs, damages, liabilities and costs and expenses (including reasonable legal fees) which may arise out of any breach of any of covenants, agreements, terms, obligations, representations or warranties set forth herein.
11. RIGHT TO TERMINATE, MODIFY OR SUSPEND
The Contest Sponsor may at any time, at its sole discretion and without liability, terminate, modify or suspend the Contest in whole or in part, if fraud, technical failures including any network server or hardware failure, viruses, bugs, errors in programming, or communications or any other errors or other causes beyond the control of the Contest Sponsor corrupt the administration, integrity or security of the Contest or if any other factor interferes with the conduct and administration of this Contest as contemplated by these Official Contest Rules. Without restricting the generality of the foregoing, in the event of early termination of the Contest, a notice will be posted on the Contest Website and all eligible entries received prior to the time of termination will be reviewed by the Judging Panel to determine which eligible Entries will be the Finalists, or which Finalists are the winners.
12. GENERAL
By entering the Contest, entrant agrees to be bound by these Official Contest Rules and the decisions of the independent contest judging organization, the Judging Panel, and/or Contest Sponsor which are final and binding in all respects related to this Contest. In the event of a dispute as to the identity of the person who submitted any entry, the authorized account holder of the e-mail address submitted at registration will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an e-mail address by an access provider, service provider, or other person or organization responsible for assigning e-mail addresses for the account associated with the submitted address. The potential winner may be required to show proof of being the authorized account holder.
